Dear CamelBak Products NEW Sports Inc. Dealer, CamelBak takes our brand and market position very seriously and invests significantly to protect and promote our valued authorized dealer network. In order to ensure that our end users purchase CamelBak products from authorized dealers only and to maintain our premium brand image, CamelBak is implementing a new Dealer Registration program that includes: • An efficient, web-based, paperless Authorized Dealer Portal with all Dealers who purchase CamelBak products for resale. • A Unilateral Advertised Price Policy (UP) • A revised Dealer Agreement including an Internet Sales Addendum. • Careful screening of prospective Internet sellers and removal of unauthorized Internet sellers. All dealers who wish to be authorized to sell CamelBak products must complete the Registration process through the authorized dealer portal. Within the online registration process, you will be presented with the CamelBak Authorized Dealer Agreement for your electronic signature. The Agreement contains our standard terms and conditions for dealers who sell CamelBak recreational product. The Agreement is vital to the ongoing protection and promotion of our Authorized Dealers. Thank you in advance for your understanding and cooperation. Key points included in the Agreement and the Internet Sales Addendum 1. Dealer will only be authorized to market and sell Products online, through the Internet, if Dealer executes and complies with the Internet Sales Addendum. 2. Dealer may fulfill orders and market, sell, and distribute the Products to End-Users located in the Territory solely on the Internet URL locations listed in the Locations & URLs section of the Portal and as explicitly approved by Seller. 3. International and Sales outside of the Territory are strictly prohibited. 4. Dealer is expressly prohibited from selling on Alibaba, Amazon, Best Buy, Bonanza, Craigslist, eBay, Facebook, Google Express, Jet, Newegg, NexTag, Overstock, Pricefalls, Rakuten, Sears & Walmart marketplaces or any other similar third-party online marketplaces. It is the Dealer’s responsibility to request Seller advance approval of Internet marketplace sales authorization. 5. Given Seller explicit approval, Dealer may sell ‘discontinued’ Products on the eBay Marketplace. 6. Sales by the Dealer of Product(s) via online auction are prohibited. 7. Dealer shall not directly or indirectly sell or ship Product(s) to any End-User or to anyone located outside the Territory, by means of any Internet URL location or otherwise. 8. Dealer expressly agrees to comply with all requirements, limitations and restrictions with regard to the use of Dealer’s Intellectual Property. 9. Dealer must copy and distribute this Addendum to each of its employees who are involved in Internet sales. Dealer must establish policies and procedures that will ensure compliance with this Addendum and must take affirmative steps to ensure compliance with this Addendum. 10. Seller reserves the right, at any time but with reasonable notice, to prohibit the sale of any specific Product(s) online. Please Note: The above summary is not binding on CamelBak or the Dealer and is in no way incorporated into the interpretation of the Authorized Dealer Agreement. Your execution of the Authorized Dealer Agreement will signify your acceptance of the terms and conditions contained therein not the above summary. All dealers who wish to sell CamelBak products on the Internet must electronically sign the Internet Sales Addendum and complete the Internet Sales Profile questionnaire to be considered for authorization. The UP announcement and supporting documentation are included in the Dealer Registration process.
